OVERVIEW

Welcome to UNBell.

These Terms of Service (“Terms”) govern your access to and use of the UNBell website, online store, products, content, features, tools, and related services (collectively, the “Services”).

The terms “UNBell,” “we,” “us,” and “our” refer to 44 Fitness LLC, doing business as UNBell.

Our online store is powered by Shopify, which provides the ecommerce platform that enables us to offer our products and Services to you.

These Terms, together with any policies referenced in them, describe your rights and responsibilities when using the Services or purchasing products from UNBell.

Please read these Terms carefully. They contain important information concerning your legal rights, product warranties, limitations of liability, and other matters.

By accessing or using the Services or placing an order with UNBell, you agree to these Terms and our Privacy Policy [LINK].

If you do not agree to these Terms or our Privacy Policy, you should not use the Services.

SECTION 1 – ELIGIBILITY, ACCESS AND ACCOUNTS

By using the Services, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence or that you are otherwise legally permitted to enter into these Terms.

You may be asked to provide information such as your name, email address, billing information, payment information, and shipping address.

You agree that information you provide to us will be accurate, current, and complete and that you have the right to provide such information.

If you create an account, you are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account.

You may not sell, transfer, assign, or license your account to another person without our permission.

SECTION 2 – OUR PRODUCTS

We make reasonable efforts to accurately display and describe UNBell products, components, configurations, dimensions, weights, materials, finishes, colors, and other product characteristics.

However, minor variations may occur as a result of manufacturing processes, material characteristics, coatings, finishes, photography, display settings, product improvements, or other factors.

Colors and product appearance displayed on a screen may differ from the physical product.

Minor cosmetic variations, including variations in finish, surface appearance, texture, coloration, plating, coating, or machining, do not necessarily constitute defects.

Product descriptions, specifications, configurations, and availability may change from time to time as we improve or modify our products.

We reserve the right to discontinue a product or component or limit quantities available for purchase, subject to any obligations relating to previously accepted orders.

SECTION 3 – ORDERS

When you submit an order, you are making an offer to purchase the products identified in that order.

Receipt of an order confirmation does not necessarily constitute final acceptance of your order. We reserve the right to accept, decline, cancel, or limit an order when reasonably necessary, including because of:

  • Product availability;

  • Pricing or listing errors;

  • Suspected fraud or unauthorized transactions;

  • Payment issues;

  • Shipping restrictions;

  • Quantity limitations; or

  • Other circumstances that reasonably prevent us from fulfilling the order.

If we cancel an order after payment has been collected, we will refund the applicable amount.

Please review your order carefully before submitting it. Because orders may enter fulfillment quickly, we cannot guarantee that an order can be changed or canceled after it has been placed.

Purchases are subject to our Return Policy [LINK].

UNBell products may be purchased for personal or household use as well as for individual professional training or coaching use, including use by personal trainers, strength and conditioning coaches, rehabilitation professionals, and similar practitioners.

Unless expressly authorized by UNBell, products purchased through our consumer online store may not be purchased for unauthorized commercial resale, redistribution, or export.

SECTION 4 – PRICES, PAYMENT AND BILLING

Prices, discounts, product offerings, and promotions may change without notice.

The price charged for a product will generally be the price displayed when your order is submitted, subject to correction of obvious pricing or listing errors.

Unless otherwise stated, displayed prices do not include applicable taxes, shipping charges, customs duties, import fees, or other charges that may apply.

Promotions, discount codes, affiliate offers, bundles, or other special offers may be subject to additional terms.

If promotional terms conflict with these Terms concerning that promotion, the promotional terms will control with respect to that promotion.

You agree to provide current, complete, and accurate billing, payment, shipping, and account information.

You represent that you are authorized to use any payment method submitted in connection with your order.

You agree to pay all charges associated with your accepted order, including applicable shipping charges and taxes.

SECTION 5 – SHIPPING AND DELIVERY

Shipping and delivery dates are estimates unless we expressly state otherwise.

We are not responsible for delivery delays caused by carriers, weather, customs, natural events, government actions, labor disruptions, incorrect delivery information provided by the customer, or other circumstances outside our reasonable control.

Responsibility for title and risk of loss will be determined in accordance with applicable law.

If your order is lost or damaged during shipment arranged by UNBell, contact us promptly so we can investigate and provide an appropriate resolution.

Products that arrive damaged, defective, incomplete, or incorrect are handled in accordance with our **Return Policy **LINKLINK and **Limited Warranty **LINKLINK, as applicable.

You are responsible for providing an accurate and deliverable shipping address.

Additional charges resulting from an incorrect address, refused delivery, or unsuccessful delivery caused by circumstances within your control may be your responsibility to the extent permitted by law.

SECTION 6 – RETURNS AND REFUNDS

UNBell offers eligible returns in accordance with our **Return Policy **LINKLINK, which is incorporated into these Terms by reference.

Our standard return period is 30 days after receipt of the product, subject to the eligibility requirements and exclusions contained in the Return Policy.

Unless the return results from a defect, shipping damage, missing item, incorrect item, or other error for which UNBell is responsible, the customer is responsible for return shipping costs as described in the Return Policy.

SECTION 7 – LIMITED WARRANTY

UNBell products are covered by our **UNBell Limited Warranty **LINKLINK, which is incorporated into these Terms by reference.

Subject to the complete terms, conditions, exclusions, and limitations contained in the Limited Warranty, UNBell currently provides:

  • 10-year limited warranty coverage for steel components; and

  • 3-year limited warranty coverage for all other components.

The warranty covers qualifying defects in materials and workmanship arising during normal and intended use.

The Limited Warranty is transferable to subsequent owners for the remainder of the applicable original warranty period.

The warranty generally applies to personal, household, and individual professional training or coaching use, including supervised use by personal trainers, strength coaches, rehabilitation professionals, and similar practitioners.

The Limited Warranty does not apply to general-use or high-volume commercial fitness environments, such as equipment placed on the general floor of a commercial gym for unrestricted member use, except where UNBell has expressly provided separate commercial warranty terms.

Warranty coverage is subject to exclusions for matters including normal wear and tear, misuse, certain environmental exposure, damage caused by incompatible components or modifications, and cosmetic conditions that do not materially affect normal function, structural integrity, or safe use.

The complete Limited Warranty governs warranty coverage and should be reviewed before purchase.

Nothing in these Terms or the Limited Warranty is intended to exclude or limit consumer warranty rights that cannot lawfully be excluded or limited.

SECTION 8 – PRODUCT USE, SAFETY AND FITNESS DISCLAIMER

UNBell is strength and fitness equipment. Use of UNBell products and participation in resistance training or exercise involves inherent risks of injury, including strains, sprains, falls, impact injuries, loss of balance, equipment-related injuries, and, in some circumstances, serious injury.

Consult a Qualified Medical Professional

Before beginning any new exercise or training program, or materially changing your existing program, you should consult a physician or other qualified healthcare professional when appropriate, particularly if you have a medical condition, injury, physical limitation, or other health concern that may affect your ability to exercise safely.

Information provided by UNBell regarding exercises, training methods, strength development, rehabilitation, prehabilitation, athletic performance, or similar subjects is provided for general educational purposes only and is not medical advice, diagnosis, treatment, physical therapy, or individualized rehabilitation advice.

Use UNBell Only as Intended

UNBell products must be used only for their intended strength and fitness purposes and in accordance with all instructions, warnings, weight limits, configuration limits, and safety information provided by UNBell.

Improper use, misuse, unauthorized modification, use of incompatible components, or failure to properly assemble or secure the product may result in equipment failure, property damage, serious personal injury, or other harm.

Do not use UNBell for purposes for which it was not designed.

Inspect Before Every Use

Before each exercise session, inspect the UNBell and all components that will be used.

Do not use UNBell or any component if it appears:

  • Cracked;

  • Broken;

  • Bent or materially deformed;

  • Excessively worn;

  • Loose;

  • Improperly assembled;

  • Damaged in a manner that could affect safe operation; or

  • Otherwise unsafe or questionable.

If you observe cracking, structural damage, abnormal movement, excessive looseness, or any condition that may affect the safe operation of the product, stop using the product immediately until the affected component has been inspected, repaired, or replaced.

Cosmetic scratches, finish wear, minor surface oxidation, or similar cosmetic conditions do not necessarily make the product unsafe, but any condition that appears structural or affects proper operation should be treated as a potential safety issue.

Secure All Components Before Exercise

Before beginning any exercise, confirm that the UNBell is fully and properly assembled for the selected configuration.

All UNBars and other removable components must be fully seated in their intended positions, and all retention mechanisms, handles, and fasteners must be fully engaged and secure before the product is lifted or used.

Do not use UNBell if:

  • Any UNBar or other component is not fully seated;
  • A fastener or retention mechanism is loose or not fully engaged;
  • A component does not align or fit as intended;
  • The product does not appear properly assembled; or
  • You are uncertain whether the selected configuration is secure.

Recheck the product whenever the weight distribution or configuration is changed.

Do Not Force Components

UNBell components are designed and manufactured so that compatible parts should assemble and engage without excessive force when properly aligned.

Do not hammer, strike, pry, excessively twist, or otherwise force components together.

If a component does not fit or engage normally:

  1. Stop assembly;

  2. Remove the component;

  3. Check alignment, orientation, and the mating surfaces for obstruction, damage, or deformation; and

  4. Do not use the product until all components can be properly installed and secured.

Never exercise with a component that has been forced into place, does not seat correctly, or cannot be securely retained.

Weight Distribution and UNBalanced Training

UNBell is specifically designed to allow weight to be positioned in balanced and intentionally unbalanced configurations.

Changing the position of UNBars changes the product's weight distribution, center of mass, rotational forces, and handling characteristics.

An unbalanced configuration may place different demands on your grip, wrist, arm, shoulder, trunk, balance, and stabilizing musculature than a conventionally balanced weight.

Begin with lighter resistance and conservative weight offsets when learning a new configuration or movement.

Do not assume that a weight you can safely control in a balanced configuration can be controlled equally safely when the weight is shifted to one side or positioned farther from your hand or body.

Use only resistance levels and configurations that you can control safely throughout the entire movement.

Exercise Environment

Use UNBell only in an area with sufficient space to safely perform the intended movement.

Maintain adequate clearance from:

  • Other people;

  • Pets;

  • Furniture;

  • Walls;

  • Windows;

  • Mirrors;

  • Equipment; and

  • Other objects that could be struck if control of the product is lost.

Use additional caution during overhead, swinging, rotational, ballistic, or other dynamic movements.

Dropping and Impact

UNBell is not intended to be thrown, slammed, intentionally dropped, or subjected to repeated uncontrolled impacts unless UNBell expressly states that a particular product or component is designed for that purpose.

If an UNBell is accidentally dropped or subjected to a significant impact, inspect the product and all affected components before further use.

Do not continue using the product if the impact may have caused cracking, deformation, loosening, or other structural damage.

Professional and Supervised Use

Personal trainers, strength and conditioning coaches, rehabilitation professionals, athletic coaches, and other professionals using UNBell with clients or athletes are responsible for exercising appropriate professional judgment and supervision.

Such professionals should ensure that users understand the selected configuration, proper handling, weight distribution, and applicable safety instructions before use.

Stop Exercise When Appropriate

Stop exercising immediately if you experience pain, dizziness, faintness, unusual shortness of breath, loss of control of the product, or another condition that makes continued exercise unsafe.

Seek appropriate medical attention when necessary.

User Responsibility

You are responsible for selecting exercises, weight levels, configurations, and training techniques appropriate for your experience, abilities, environment, and physical condition.

Failure to follow UNBell instructions and safety information may increase the risk of property damage or serious personal injury.

Nothing in this section limits any legal right or remedy that cannot lawfully be limited.

SECTION 9 – INTELLECTUAL PROPERTY

The Services and their content, including trademarks, trade names, logos, text, graphics, photographs, illustrations, video, audio, product designs, website designs, and other materials, are owned by or licensed to UNBell and may be protected by United States and international patent, trademark, copyright, trade dress, and other intellectual property laws.

These Terms permit you to use the Services for lawful personal purposes and legitimate business purposes associated with evaluating, purchasing, or using UNBell products.

Except as permitted by law or expressly authorized by us, you may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, commercially exploit, or transmit protected materials from the Services.

Nothing in these Terms grants you ownership of or a license to any patent, trademark, copyright, trade secret, product design, or other intellectual property belonging to UNBell or another party except for the limited rights necessary to use the Services as described in these Terms.

UNBell's names, logos, product names, designs, slogans, and branding may be trademarks or other protected intellectual property of 44 Fitness LLC.

All rights not expressly granted are reserved.

SECTION 10 – OPTIONAL THIRD-PARTY TOOLS

The Services may provide access to tools, integrations, payment services, applications, or functionality supplied by third parties.

We may not control or monitor all third-party tools.

Your use of third-party tools may also be governed by the terms and privacy policies of the applicable third-party provider.

To the extent permitted by law, UNBell is not responsible for the operation, availability, security, accuracy, or performance of third-party tools that we do not control.

SECTION 11 – THIRD-PARTY LINKS

The Services may contain links to websites or resources operated by third parties.

UNBell does not necessarily control, endorse, or assume responsibility for third-party websites, materials, products, or services merely because they are linked through the Services.

If you access a third-party website or purchase a third-party product or service, your interaction with that third party may be governed by its own terms and policies.

Questions or disputes concerning third-party products or services should generally be directed to the applicable third party.

SECTION 12 – RELATIONSHIP WITH SHOPIFY

UNBell's online store is powered by Shopify, which provides ecommerce technology and related services that enable us to operate the store.

Products purchased from the UNBell store are sold by 44 Fitness LLC d/b/a UNBell, not by Shopify.

Shopify is not the manufacturer or seller of UNBell products and is not responsible for fulfilling UNBell's product warranty or return obligations.

Your use of Shopify-supported functionality may also be subject to applicable Shopify terms and privacy practices.

SECTION 13 – PRIVACY

Personal information collected through the Services is handled in accordance with our Privacy Policy [LINK].

Because our online store is hosted by Shopify, Shopify may collect and process certain information relating to your access to and use of the Services in order to provide ecommerce and related services.

Shopify's applicable privacy information can be reviewed through Shopify's published privacy materials.

Please review our Privacy Policy for additional information regarding how personal information is collected, used, disclosed, and protected.

SECTION 14 – FEEDBACK, REVIEWS AND USER CONTENT

If you voluntarily submit reviews, photographs, videos, suggestions, ideas, comments, testimonials, or other content to UNBell (“User Content”), you represent that you have the right to provide that content.

Unless otherwise agreed in writing, you grant UNBell a non-exclusive, worldwide, royalty-free, sublicensable license to reproduce, display, publish, adapt, distribute, and use User Content in connection with operating, improving, and promoting UNBell and its products and Services.

This license does not transfer ownership of your User Content to UNBell.

You represent that User Content submitted by you:

  • Does not infringe the intellectual property, privacy, publicity, or other rights of another person;

  • Is not knowingly false or misleading;

  • Does not contain unlawful, defamatory, threatening, obscene, or malicious material; and

  • Discloses any material compensation or incentive when disclosure is required by applicable law.

We may remove User Content from our Services when reasonably appropriate, including because it violates these Terms or applicable law.

SECTION 15 – ERRORS, INACCURACIES AND OMISSIONS

Information available through the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to matters such as product descriptions, specifications, pricing, promotions, shipping charges, transit times, or availability.

We may correct errors, inaccuracies, or omissions and update information when reasonably necessary.

If a material pricing or product information error affects an order you have already submitted, we may contact you to provide the corrected information or cancel and refund the affected order as appropriate.

Nothing in this section permits UNBell to avoid obligations that cannot lawfully be avoided.

SECTION 16 – PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services:

  • To violate applicable law;

  • To infringe our intellectual property rights or those of another person;

  • To commit fraud or submit intentionally false or misleading information;

  • To harass, threaten, abuse, defame, or unlawfully harm another person;

  • To distribute malware or malicious code;

  • To interfere with the security or proper functioning of the Services;

  • To collect personal information about others unlawfully;

  • To impersonate another person or entity;

  • To engage in unauthorized scraping, data extraction, automated access, or circumvention of technological controls; or

  • For any other unlawful activity.

We may restrict or terminate access to the Services when we reasonably believe these Terms have been materially violated.

SECTION 17 – AUTOMATED SYSTEMS AND AGENTS

Automated or semi-autonomous systems, software agents, bots, crawlers, scraping tools, or similar technologies may not access the Services in a manner that:

  • Circumvents security or access controls;

  • Conceals the automated nature of the activity;

  • Impairs or disrupts the Services;

  • Collects information in violation of applicable law;

  • Violates intellectual property rights; or

  • Contravenes technical restrictions communicated through the Services.

We may use reasonable technical measures to restrict abusive or unauthorized automated access.

SECTION 18 – TERMINATION

We may suspend or terminate access to some or all of the Services when reasonably necessary, including because of a material violation of these Terms, fraud, abuse, security concerns, or unlawful activity.

Termination of access does not eliminate obligations or rights that arose before termination.

Sections that by their nature should survive termination will remain effective, including provisions concerning intellectual property, payment obligations, warranty rights, limitations of liability, indemnification, governing law, and other accrued rights and obligations.

SECTION 19 – WEBSITE AND SERVICE DISCLAIMERS

Except for warranties or rights expressly provided by UNBell, including the UNBell Limited Warranty, and except for warranties or rights arising under applicable law that cannot lawfully be excluded or limited, the website and online Services are provided on an “as available” basis.

We do not guarantee that the website will always be uninterrupted, secure, error-free, or available.

Information published through the Services is provided for general informational purposes. While we make reasonable efforts to provide accurate information, website content may occasionally contain errors, omissions, outdated information, or inaccuracies.

Nothing in this section disclaims, limits, modifies, or replaces the UNBell Limited Warranty or any implied warranty or consumer right that cannot lawfully be disclaimed or limited.

SECTION 20 – LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNBELL, 44 FITNESS LLC, AND THEIR MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE OR SERVICES.

THIS LIMITATION DOES NOT APPLY TO:

  • RIGHTS OR REMEDIES PROVIDED UNDER THE UNBELL LIMITED WARRANTY;

  • LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED;

  • APPLICABLE PRODUCT-LIABILITY OBLIGATIONS;

  • PERSONAL INJURY OR PROPERTY DAMAGE TO THE EXTENT LIABILITY CANNOT LAWFULLY BE LIMITED;

  • FRAUD, WILLFUL MISCONDUCT, OR OTHER CONDUCT FOR WHICH LIABILITY MAY NOT LAWFULLY BE EXCLUDED; OR

  • RIGHTS PROVIDED BY APPLICABLE CONSUMER-PROTECTION LAW THAT CANNOT BE WAIVED.

Some jurisdictions do not permit certain limitations of liability, so some portions of this section may not apply to you.

SECTION 21 – INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless 44 Fitness LLC d/b/a UNBell and its members, managers, officers, employees, agents, and service providers from third-party claims, losses, or reasonable expenses arising directly from:

  • Your material violation of these Terms;

  • Your unlawful use of the Services;

  • Your infringement of a third party's rights; or

  • Your intentional misuse of UNBell products in a manner inconsistent with clearly provided instructions or warnings.

This provision does not require you to indemnify UNBell for claims resulting from UNBell's own negligence, product defect, breach of warranty, violation of law, or other responsibility that cannot lawfully be transferred to you.

SECTION 22 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law or, when appropriate, severed from these Terms.

The remaining provisions will remain in effect.

SECTION 23 – WAIVER AND ENTIRE AGREEMENT

A failure by UNBell to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms, together with policies expressly incorporated by reference, including our Return Policy, Limited Warranty, and Privacy Policy, constitute the agreement governing your use of the Services and purchases through the Services, except where separate written terms expressly apply.

Nothing in this section limits any express warranty, representation, or consumer right that applicable law makes binding regardless of these Terms.

SECTION 24 – ASSIGNMENT

You may not assign your rights or obligations under these Terms in connection with your account or use of the Services without our consent, except where applicable law provides otherwise.

UNBell may assign its rights or obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, or similar business transaction, or otherwise as permitted by law.

The transferability of the UNBell Limited Warranty is governed separately by the terms of that warranty and is not restricted by this section.

SECTION 25 – GOVERNING LAW AND JURISDICTION

These Terms and transactions between you and UNBell are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law rules, except to the extent applicable law requires otherwise.

To the extent a dispute may lawfully be subject to a contractual choice of forum, the parties consent to the jurisdiction of the applicable state and federal courts located in the Commonwealth of Massachusetts.

Nothing in this section deprives a consumer of protections, remedies, or rights under the laws of the consumer's jurisdiction that cannot lawfully be waived, restricted, or displaced by agreement.

SECTION 26 – CHANGES TO THESE TERMS

You may review the current version of these Terms on our website.

We may update these Terms from time to time to reflect changes to our products, Services, business practices, or legal obligations.

When required by applicable law, we will provide appropriate notice of material changes.

Changes will apply prospectively from their stated effective date unless applicable law provides otherwise.

Changes to these Terms do not retroactively eliminate warranty rights, payment obligations, or other rights or responsibilities that have already accrued.

Section titles and headings are included for convenience and do not affect the interpretation of these Terms.
